Corporate Attorney - Mergers & Acqusitions

Established 100+ Years Premier Firm Seeking a Corporate Attorney for their Corporate/M&A Transactions group in Manhattan, NY!

 

An established firm based in New York, NY with over 100 years in practice is seeking a Corporate Transactional Attorney with 8-10+ years of experience to join their team in NYC . This attorney will have deep experience managing complex corporate and transactional matters, including mergers and acquisitions, buy/sell agreements, corporate formations, restructurings, and commercial contracts, serving as a trusted advisor to middle-market entrepreneurs from inception through closing.

Salary range: $250,000-$350,000+, contingent on experience

Qualifications :
Active admission to the New York State Bar is required
8-10+ years of experience in corporate and transactional law
Demonstrated experience handling middle-market business transactions from structuring through closing
Strong drafting, negotiation, and analytical skills across a range of transactional documents
Ability to independently manage complex matters without significant oversight
Excellent client-facing and communication skills with a business-minded approach

 

Responsibilities :
Oversee and manage corporate transactions from initial structuring through closing
Draft, review, and negotiate transactional documents including buy/sell agreements, mergers and acquisitions, corporate formations and restructurings, shareholder and operating agreements, and commercial contracts
Provide strategic legal counsel to middle-market business clients across a range of industries
Interface directly with clients, opposing counsel, and other stakeholders throughout the transaction process
Conduct due diligence and manage transaction timelines to ensure efficient deal execution
Identify and mitigate legal and business risks across complex corporate engagements
